Terms of Service

Please read these Terms carefully before using our services. By booking a call, signing an agreement, or using our services, you agree to be bound by these Terms.

1. Who These Terms Apply To

These Terms of Service ("Terms") govern the relationship between Our Call Center Technologies LLC ("OCC," "we," "us," or "our"), a Wyoming-registered limited liability company, and any individual or business ("Client," "you") that accesses our website at ourcallcenter.tech or engages OCC for services.

2. Description of Services

OCC provides managed outbound appointment-setting services for contractors operating in the roofing, HVAC, solar, restoration, and related home services industries. Our services include, but are not limited to:

The specific scope of services, seat count, billing structure, and performance targets for each Client are defined in a separate Outbound Operations Membership Agreement ("Service Agreement") executed between OCC and the Client.

3. No Setup Fees

OCC charges no setup fees for standard onboarding under our Outbound Operations Membership. All startup costs associated with recruiting, training, and infrastructure deployment are absorbed by OCC. Clients are responsible only for the recurring seat-based membership fee as defined in their Service Agreement.

4. Billing and Payment Terms

Weekly billing: Seats are billed at the weekly rate defined in your Service Agreement, invoiced every Monday. Four invoices are issued per 28-day billing cycle.

Monthly billing: Clients who elect the monthly billing option receive a reduced per-seat rate. Monthly billing locks the Client's assigned territory for the duration of the billing period.

Additional services: Data licensing, ReadyMode dialer platform fees, and any add-on services are invoiced separately as outlined in your Service Agreement.

Payment: Invoices are due upon receipt. OCC reserves the right to pause active campaigns for accounts with outstanding balances. Clients with unpaid balances beyond 7 days may be subject to service suspension.

5. Week-to-Week and Cancellation

OCC operates on a week-to-week basis with no long-term contracts required. Either party may discontinue services with written notice prior to the next billing cycle. Prepaid periods are non-refundable once callers have been deployed and campaigns are active. Any purchased data records remain the property of the Client after termination, as specified in the Service Agreement.

6. Performance and Results Disclaimer

OCC manages dedicated outbound calling infrastructure and provides trained, supervised callers. We do not guarantee a specific number of appointments, closed deals, or revenue outcomes. Appointment volume depends on variables including but not limited to:

OCC provides 24 to 48-hour caller replacement guarantees for underperforming or absent callers. OCC does not guarantee appointment-to-close conversions, as those outcomes are within the Client's sales operation.

8. Telemarketing Compliance

OCC operates outbound calling campaigns on behalf of its Clients. Clients are responsible for ensuring that the lists, scripts, and calling objectives provided to OCC comply with all applicable federal and state telemarketing regulations, including the TCPA, TSR (Telemarketing Sales Rule), and applicable Do-Not-Call registry requirements. OCC will follow compliance directives provided by the Client but cannot independently verify the legal status of every contact on Client-provided lists. The Client assumes full legal responsibility for the compliance of their calling campaigns.

9. Intellectual Property

All materials, systems, scripts, processes, training frameworks, and operational methodologies developed or owned by OCC remain the sole property of OCC. Nothing in these Terms grants the Client any license or ownership rights over OCC's proprietary materials. Client-specific scripts, offer language, and branding assets developed during the engagement remain the property of the Client.

10. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement, including pricing, client lists, internal processes, and performance data. This obligation survives termination of the service relationship for a period of two (2) years.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OCC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES PROVIDED, EVEN IF OCC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OCC's total cumulative liability to any Client for any claims arising under these Terms shall not exceed the total fees paid by that Client to OCC in the 30 days immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless OCC and its members, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms that cannot be resolved informally shall first be submitted to non-binding mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

14. Modifications to These Terms

OCC reserves the right to modify these Terms at any time. Updated Terms will be posted to this page with a revised effective date. Continued use of OCC's services following any update constitutes acceptance of the modified Terms. Material changes will be communicated to active Clients via email.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with your executed Service Agreement and any applicable addenda, constitute the entire agreement between you and OCC regarding the subject matter herein and supersede all prior discussions, representations, or agreements.
